Terms and Conditions

1. Definitions

• "Agreement" means these Terms and Conditions.
• "Services" means the API platform, infrastructure, and related services provided by MultiCartAPI.
• "Customer" means the business entity accessing or using the Services.
• "Output Data" means structured data returned through the API.
• "Confidential Information" means non-public information disclosed in connection with the Services.

2. Scope of Services

• 2.1 MultiCartAPI provides API-based data extraction, processing, and structured JSON delivery services.
• 2.2 Services may be modified, updated, restricted, or discontinued at any time without liability.
• 2.3 No guarantee is made regarding availability of any specific third-party data source.

3. Eligibility and Business Use

• 3.1 Services are provided strictly for commercial use.
• 3.2 Customer represents it is acting in a business capacity and not as a consumer.
• 3.3 Customer warrants authority to bind the entity on whose behalf it accesses the Services.

4. License Grant

• 4.1 Subject to compliance with this Agreement, MultiCartAPI grants Customer a limited, non-exclusive, non-transferable, revocable license to access and use the Services.
• 4.2 No ownership rights are transferred.

5. Fees and Payment

• 5.1 Customer agrees to pay all subscription or usage-based fees.
• 5.2 Fees are non-refundable unless expressly agreed in writing.
• 5.3 MultiCartAPI may modify pricing with reasonable notice.
• 5.4 Non-payment may result in immediate suspension or termination.

6. Customer Obligations

• 6.1 Customer is responsible for maintaining credential security.
• 6.2 Customer is solely responsible for compliance with all applicable laws.
• 6.3 Customer is responsible for lawful use of Output Data.

7. Intellectual Property

• 7.1 All rights in the Services remain the exclusive property of MultiCartAPI.
• 7.2 Customer retains rights to submitted data, subject to necessary processing rights.

8. Confidentiality

• 8.1 Each party agrees to protect Confidential Information using reasonable safeguards.
• 8.2 Confidential Information shall not be disclosed except as required to perform obligations under this Agreement.

9. Service Levels

• 9.1 No specific uptime or performance guarantees are provided unless separately agreed in writing.
• 9.2 Service interruptions may occur due to maintenance, infrastructure failure, or third-party disruptions.

11. Limitation of Liability

• 11.1 MultiCartAPI shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages.
• 11.2 Total aggregate liability shall not exceed the greater of USD $100 or the fees paid in the three (3) months preceding the claim.
• 11.3 These limitations apply regardless of legal theory.

12. Indemnification

Customer agrees to defend and indemnify MultiCartAPI from claims arising from Customer's use of the Services, misuse of Output Data, or violation of law.

13. Term and Termination

• 13.1 This Agreement remains effective while Customer uses the Services.
• 13.2 MultiCartAPI may suspend or terminate access for breach, non-payment, or risk exposure.
• 13.3 Upon termination, Customer's access rights immediately cease.

14. Dispute Resolution and Arbitration

• 14.1 All disputes shall be resolved by binding arbitration conducted in English.
• 14.2 Arbitration shall be conducted on an individual basis only.
• 14.3 Class, collective, or representative actions are expressly waived.

15. Governing Framework

This Agreement shall be interpreted under internationally recognized principles of commercial contract law, without reference to specific national conflict-of-law provisions.

16. Force Majeure

MultiCartAPI shall not be liable for failures caused by events beyond reasonable control.

17. Survival

Provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and confidentiality survive termination.

18. Severability

If any provision is unenforceable, the remaining provisions remain effective.

19. Modifications

MultiCartAPI may update this Agreement at any time. Continued use constitutes acceptance.
